Selling a business can feel complicated. We believe it should feel understandable. We walk you through the process, help you understand your options, and stay close to the details as the transaction moves forward. Most importantly, you work directly with us throughout the process.

We meet with you to explain the M&A process, including what happens at each stage and how long the process is likely to take.
We then study your historic financial statements, tax returns, and other relevant information to understand the business and its historic profitability. We also look at relevant public information about your industry and recent transactions to develop a range of valuation factors and provide our opinion of possible sales valuations.
This gives you a clear understanding of both the process and what your business may be worth before we begin approaching buyers.

We identify and engage with potential buyers and share relevant marketing materials that tell your business’s story.
Once we identify the best-fit buyer, we help negotiate a Letter of Intent outlining the key terms of the proposed sale, including purchase price.
The highest offer isn't always the best offer. We help you consider the full picture and find a buyer and a deal that make sense for you, your business, and your family.

Once a Letter of Intent is in place, we organize the collection of relevant due diligence materials and manage the diligence process on your behalf.
We also work alongside your counsel with the buyer and its counsel to negotiate the legal documents needed to complete the sale. Depending on the transaction, these may include the Purchase Agreement, escrow or holdback agreements, relevant real estate leases, employment contracts for key employees, and other deal documents.
There are a lot of moving pieces at this stage. We help keep them organized and keep the transaction moving forward.

Once the parties agree on a Closing Date, the transaction is legally closed, the funds transfer, and the deal is done.
