From the first conversation through closing, you work directly with us. Our job is to keep the process moving, make the complicated parts easier to understand, and help you make informed decisions about the business you’ve spent years building. We’ll be with you from start to finish.

PHASE 1

Understanding Your Options

Getting to know your business.

We start by understanding how your business operates, how it performs, and what makes it valuable. We review financial statements and tax returns, identify potential adjustments to earnings, and talk directly with the owners and key people who know the business best.

Understanding what it may be worth.

From there, we develop a potential valuation range based on our analysis and experience. We walk you through what we’ve found so you have a realistic picture of what a sale could look like.

Deciding what’s right for you.

There’s no pressure to sell. With a clearer understanding of your business’s value and what a potential transaction could involve, you can decide whether moving forward makes sense for you, your family, and your future.

PHASE 2

Going to Market

Telling the story of what you’ve built.

If you decide to move forward, we prepare the materials needed to thoughtfully introduce your business to potential buyers—clearly communicating its story, strengths, and value.

Finding the right fit.

A successful sale isn’t only about the highest number. Together, we evaluate potential buyers and identify the right fit for your goals and the future of the business.

Once a preferred buyer is identified, we help negotiate a Letter of Intent (LOI), outlining the proposed terms of the transaction, including purchase price and other important financial and business considerations.

PHASE 3

Getting to Closing

01.

Navigating due diligence.

Once an LOI is signed, the buyer begins a more detailed review of the business. We manage the electronic data room, help organize requested financial and operational information, and work alongside you to respond to questions throughout the process.

Working through the details.

As due diligence progresses, legal counsel works through the Purchase Agreement and other transaction documents. We stay closely involved, helping you understand what’s happening and working alongside your other advisors as the details come together.

03.

Closing—and what comes after.

Once diligence is complete and final terms are agreed upon, the transaction moves to closing. We remain involved through the transfer of funds and any post-closing matters, including working capital adjustments, escrowed funds, and other agreed-upon obligations.
